Terms and Conditions

1. Scope

These Terms and Conditions apply to the use of the platform B2BStock.de and to all offers, auctions, Buy Now offers and business transactions conducted through or in connection with B2BStock.de.

These Terms and Conditions apply exclusively to business customers, entrepreneurs, resellers, wholesalers, export buyers and other B2B buyers. Sales to consumers within the meaning of § 13 BGB are not intended.

2. Registration and Access

Registration may be required to use certain functions, especially auctions and Buy Now offers. The buyer agrees to provide accurate and complete information.

B2BStock.de may make activation of a user account subject to business customer verification. This may include company information, VAT ID, trade documents or identity documents.

3. Offers, Auctions and Buy Now

Goods may be offered on B2BStock.de through auctions or Buy Now offers.

In auctions, the buyer submits a binding bid. If the buyer wins the auction according to the auction conditions, the buyer is obliged to purchase.

With Buy Now offers, the buyer can purchase goods directly at a fixed price. A binding purchase agreement is concluded when the purchasing process is completed.

4. Type and Condition of Goods

The goods offered may include liquidation stock, Amazon returns, customer returns, surplus stock, overstock goods, pallet goods, mixed pallets, wholesale goods or similar inventory.

The goods may have different conditions. This may include new goods, used goods, untested goods, open-box goods, damaged packaging, incomplete items or defective items.

The buyer acknowledges that liquidation and return goods may typically include mixed conditions.

5. Product Information, Images and Manifests

Product images, lot descriptions, quantity information, condition information and manifests are provided to the best of our knowledge where available.

Manifests, images and descriptions are provided for buyer information. Deviations may occur with liquidation and return goods. A specific quality of goods is agreed only if expressly confirmed in writing.

6. Prices, Payment and Retention of Title

Unless otherwise stated, all prices are net prices plus statutory VAT.

Payments must be made according to the conditions stated in the offer or invoice. The goods remain the property of Logo Trading GmbH until full payment has been received.

7. Pickup, Shipping and Transport

Depending on the offer, goods may be picked up or transported. Unless expressly agreed otherwise, transport costs shall be borne by the buyer.

B2BStock.de may support buyers with transport options. Unless otherwise agreed, the buyer remains responsible for transport, import, customs, documentation and local regulations.

8. Transfer of Risk

In B2B transactions, the risk of accidental loss or accidental deterioration of the goods passes to the buyer upon handover to the buyer, freight forwarder, carrier or any other person assigned to transport the goods.

9. Warranty and Liability

Since the goods are often liquidation stock, return goods, surplus stock or untested goods, condition and completeness may vary.

Warranty is governed by statutory provisions unless otherwise validly agreed in B2B transactions.

Liability for slight negligence is excluded unless essential contractual obligations, injury to life, body or health, or mandatory statutory liability provisions are affected.

10. No Consumer Right of Withdrawal

The platform is intended exclusively for business customers. A statutory consumer right of withdrawal does not apply because contracts are not concluded with consumers.

11. Export and International Buyers

International buyers are responsible for checking and complying with import regulations, customs rules, tax obligations, product approvals and other legal requirements of the destination country.

12. Suspension of User Accounts

B2BStock.de reserves the right to suspend user accounts or restrict access to auctions and offers if false information is provided, payment obligations are not fulfilled or these Terms and Conditions are violated.

13. Applicable Law and Jurisdiction

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

The place of jurisdiction for all disputes arising from or in connection with these Terms and Conditions shall, where legally permissible, be the registered office of Logo Trading GmbH.

14. Changes to the Terms and Conditions

Logo Trading GmbH reserves the right to amend these Terms and Conditions if necessary. The current version will be published on B2BStock.de.
